General Conditions of the Quay Tariff

1. General Conditions

1.1 Basis of Contract

1.1.1 The client of services of all kinds or the user of the public wharf facilities which are operated by the Lübecker Hafen-Gesellschaft mbH (hereinafter called LHG) accepts the General Business Conditions and the Quay Tariff in the latest version, as being the basis of this contract.

1.1.2 The General Conditions in the version valid at the time may be downloaded from the internet: www.lhg.com.

1.1.3 The users of the port are obliged to observe all relevant regulations under public law relating to the use of the public port facilities, in particular the Fee Regulations of the LHG and the Hansestadt Lübeck for the utilization of the public port areas as revised at the time, the Port Regulations for the ports in Schleswig-Holstein and the Port Security Regulations and the Regulation for the Disposal of Ship Waste in the port facilities operated by the LHG. The port users also undertake to comply with these General Conditions in force at the time.

1.2 Handling and Warehousing requiring prior approval

1.2.1 Where the handling of certain goods requires an approval, the handling will not be carried out until and unless such an approval is presented.

1.2.2 For transport-related reasons, hazardous goods may only be stored in the area of the port on spaces specifically provided for such goods and with the express authorization of the port authority of the Hansestadt Lübeck and the LHG. Explosive goods are ruled out from storage. Hazardous goods which are brought into the port must be further conveyed within 24 hours. If this working say is a Saturday, the time limit expires at the end of the next working day. Explosive goods (IMO Class) are ruled out from storage.

1.3 General principles of calculation

1.3.1 The LHG will charge its clients and users of its port facilities for all services rendered by LHG in accordance with this Quay Tariff.

1.3.2 The calculation of bulky goods is made by dividing the m³ by the gross weight in tons.

1.3.3 If not otherwise specified herein, the fees will be calculated by the gross weight. Other tariff units commenced are counted as full units.

1.3.4 Goods that must be set down for stowage-related reasons (storage space, warehousing shed and transport vehicles) are invoiced as goods in the indirect handling.

1.3.5 Empty uncleaned vehicles or containers contaminated with residual hazardous goods will be grouped as hazardous goods.

1.3.6 The handling rates do not include the securing of cargo on/in carrying vehicles or in containers. The securing of cargo will be charged at the hourly rates for time wage and the provision of equipment.

1.3.11 Groupage and partial cargo loads requiring special sorting work, are subject to a surcharge which is listed in the relevant fee schedule.

1.3.12 Direct handling: Unloading or loading of goods from a vehicle or container directly onto vehicles or into containers.

1.3.13 Indirect handling: Unloading of goods from a vehicle or container onto the storage space and subsequent reloading on/in vehicles or containers.

1.4 Special Services

All special services not specifically listed in the Quay Tariff, will be charged at the hourly rates quoted in the Quay Tariff.

1.5 Working Times

The fees quoted in the Quay Tariff shall apply to work and services carried out within the first shift of a working day between Monday and Saturday. Any work performed outside this regular working time is subject to surcharges according to the hourly rates in the Quay Tariff.

1.6 Placing of orders/Notification

1.6.1 Orders must be placed in writing. They must contain all particulars required for proper handling and proper warehousing. All directions concerning the treatment of goods must be included in the order. In the absence of such a written order the LHG is not under obligation to carry out any work.

1.6.2 As far as the LHG provides order forms, the work will only be carried out if the client has completed these forms in all detail and has submitted them with his signature. Available/down load under www.lhg.com

1.6.3 The client assumes the guarantee for the correctness of the particulars filled-in, in particular in respect of the kind, quantity and weight of the goods.

1.6.4. All handling work must be notified by 12.00 midday on the preceding day. Where work is required on Sunday, the notification must reach the LHG by Friday 12.00 midday.

1.7 Turnover Tax

Turnover tax at the rate laid down in the Turnover Tax Act will be added to all fees as far as the fees are liable to turnover tax.

1.8 Final Provisions

1.8.1 The place of jurisdiction for all legal disputes in connection with or resulting from this contract shall be Lübeck, provided the client is a businessman, a legal entity under public law or Federal Government’s Fund. The agreement on the place of jurisdiction shall also apply if the client has no general place of jurisdiction in the inland. The LHG shall also be entitled to file a legal action at the client’s place of residence.

1.8.2 The law of the Federal Republic of Germany shall be applicable.

1.8.3 Should any provisions of the foregoing General Conditions be ineffective or set aside by agreement, the effectiveness of the other provisions shall nevertheless remain in full force and effect. The contract parties are obliged to replace any ineffective provision for such other provision which is legally effective and is as close as possible to the purpose and economic result of the ineffective provision.

The Quay Tariff enters into legal effect on 1st January 2016.

2. Quay Handling - Boats

No supplemental fee will be charged for boats measuring more than 5-fold.

In case of indirect handling it will be necessary for the client to provide the necessary auxiliary aids, such as boat trestles or boat supports, at his own expense.

2.1 Additional services, such as the insertion and erection of boat masts, relocation of boat trestles, disposal of boat trestles and lashing material etc. shall be charged according to own expenditure.

4. Quay handling of motor vehicles and trailers

The gate-in and gate-out delivery, the loading or unloading of the vehicles is carried out within the regular working times. The vehicles are checked on the outside for obvious damage. If light conditions do not allow this, the check will be made on the following day.

6. Hourly Rates for Personnel and Equipment

6.1 General

6.1.1 The handling rates specified in the Quay Tariff shall be valid for work carried out within the first working-day shift from Monday to Saturday. Any work outside this regular working time is subject to a surcharge according to the hourly rates.

6.1.2 Overtime will be charged by the hour commenced.

6.1.3 Work at time-wage, waiting times, idle times and provision of equipment will be charged by the half-hour commenced.

6.1.4 Working through break time without stopping will be charged as one hour over-time per man.

6.1.5 Where work has been ordered for the first shift on a working day, the waiting times before and during the actual activities will be invoiced.

6.1.6 Waiting times and idle times outside the first shift on a working day are generally invoiced.

6.1.7 Where shift work is ordered, idle times after completion of the work are invoiced.

6.1.8 Waiting times and idle times on Sundays, days preceding holidays, on holidays and first-class holidays are invoiced as a general rule.

6.1.9 On Sundays, on days preceding holidays, on holidays and first-class holidays, as well as work following the first shift on a working day, the total number of hours per shift/man plus the respective waiting times and idle times will be invoiced.

6.1.10 For days preceding holidays, a Sunday surcharge will be invoiced from 1.00 p.m. Such days preceding holidays are the Saturday before Easter and Saturday before Whitsun, 30th April, 24th December and 31st December.

6.1.11 First-class holidays are New Year, Easter Sunday, 1st May, Whitsun Sunday, 25th and 26th December.

6.1.12 The surcharge for overtime on first-class holidays is 50 % on the prices payable according to Item 6.4

7.1 Warehousing and Demurrage

7.2 General

7.2.1 Free warehousing periods are specified in the relevant schedule of rates.

7.2.2 For incoming sea-borne goods, the first warehousing day shall be the working day following the last discharging day of the vessel.

7.2.3 For outgoing sea-borne goods and all other goods the first warehousing day shall be the working day following the day of delivery.

7.2.4 The last warehousing day for outgoing sea-borne goods shall be the first loading day of the vessel, for all other goods the actual loading day.

7.2.5 Where goods are warehoused for a longer period, the free warehousing period is not applicable. The first payable warehousing day shall be the day on which the goods enter the warehouse.

7.2.6 The LHG reserves the right to collect warehousing fee in cash from the client or port user in advance, but no later than on departure of the units or goods from the port facilities of the LHG. This shall also be applicable to third parties who act on behalf of their clients.

7.9 Demurrage for Trucks and Trailers in open-air storage

7.9.1 Any trucks and trailers parked within the port facilities of the LHG are subject to demurrage charge on expiration of a free parking time. The parking is allowed at the port user’s own risk. The LHG’s liability is regulated in § 13 of the General Conditions, i.e. the LHG does not assume any liability, except in cases specified in § 13 of the General Conditions.

7.9.2 Trucks and trailers using the port area solely for parking without having been brought in or out of the LHG port by any sea-.bound water vehicles are not allowed a free parking period. The first day that is liable to storage fee, shall be the day of gate-in delivery. The last day that is liable to storage fee, shall be the day of gate-out delivery.

7.9.3 The LHG reserves the right to collect cash payment for truck demurrage from the clients or port users in advance, but no later than on gate-out delivery of the units from the LHG port.

Charges for ship-side services

8. Gate Charge

A gate charge will be payable for the entry to or departure from the LHG port facilities through the LHG Gate System on seaward incoming or seaward outgoing transport vehicles or transport containers, such as trailers, trucks, containers, swap bodies etc.

9. Mooring and Unmooring at the Terminal Skandinavienkai

9.1 Scope of Application

The Lübecker Hafen-Gesellschaft mbH (LHG) has been authorized by the port authority of the Hansestadt Lübeck to assume the responsibility for the mooring or unmooring of ships and other floating bodies in the LHG-operated parts of the public port of the Hansestadt Lübeck.

9.2 General Provisions

9.2.1 The client or vehicle operator has to ensure that the ships, the ships’ crews, or any floating bodies are prepared for the service process.

9.2.2 Any costs arising due to delay shall be at the client’s expense.

9.2.3 If no gross tonnage measurement is available for ocean ships or sea-going floating bodies according to International Ship Tonnage Certificate London Convention 1969 ITC, the Lübeck Port Authority (LPA) will carry out an estimation of the gross tonnage.

9.2.4 The requirements laid down in the Port Utilization Ordinance of the Hansestadt Lübeck must be observed. Ships and other floating bodies with a length of max. 70 metres over all are exempted from the obligation of mooring or unmooring.

9.3 Notifications

9.3.1 The client or vehicle operator is required to notify the LHG coordinator of his intention to use the services (mooring, unmooring, hauling) 24 hours prior to the intended use.

9.3.2 If the scheduled time has to be changed, the LHG coordinator must be informed no later than 4 hours prior to the originally scheduled use of the service. In the event that the notified time is not complied with, the order for services can only be accepted and processed by LHG according to availability of personnel.

9.3.3 Short-term notifications of ships or other floating bodies up to 4 hours prior to the performance of services can only be accepted and processed according to the availability of personnel. Notifications with a term of less than four hours cannot, as a rule, be accepted and processed at all.

9.3.4 The surcharge concerning Items 9.3.1 to 9.3.3 are levied for notified and subsequently cancelled services, short-term notifications of ships, other floating bodies and for non-compliance with notification terms.

9.5 Fees for Mooring Services

9.5.1 The charges for services within the regular working time from Monday to Saturday 7 a.m. to 11 p.m. per ship or other floating body and berthing operation are as follows:

9.5.2 The afore-mentioned service fees for mooring, unmooring or hauling are subject to a liner-service price reduction. The liner-service price reduction is allowed according to the number of berthings per calendar year.

9.5.3 The fees for service include a waiting time of 30 minutes from the scheduled time of the activity. Longer waiting times are invoiced with the surcharge for waiting times.

9.6 Surcharges

Any work rendered from Monday to Saturday between 11 p.m. and 7 a.m. as well as on Sundays and holidays is subject to a surcharge of 50 % on the fee for service for each operation.

9.7 Waiting Time

Any waiting time, through no fault of the LHG, in excess of the commenced 30-minutes waiting time is due to 50 % surcharge on the rates shown in Item 9.5.3.

9.8 Other Service Fees

9.8.1 Fees for services notified and then cancelled prior to the scheduled use of the service. The time of cancellation prior to the scheduled beginning of service is the basis of the grade of calculation
